This agreement is between Andrew Tolentino, DBA Honest Club (“Coach,” “I”) and the person who completes checkout (“Client,” “you”). It covers every Honest Club plan: a Single Session, a Coaching Package, or Monthly Coaching. Where a section only applies to one plan, it says so.
It takes effect when you agree to it at checkout and complete payment. The plan, rate, and amount on your checkout page and Stripe receipt are part of this agreement, and your receipt is your record of it.
1Coaching, and what it isn’t
Coaching is a collaborative, forward-looking conversation to help you gain clarity and act on your goals. I’m trained through CTI’s Co-Active program (CAP credential). It is not therapy, counseling, medical care, substance-abuse treatment, legal advice, or financial or investment advice. I don’t diagnose or treat anything, nothing I say substitutes for a licensed professional, and you shouldn’t stop or change treatment based on our conversations. If another service would serve you better, I’ll say so.
Every decision you make is yours, as are the outcomes. If you’re in crisis or thinking about harming yourself, contact emergency services or call or text 988. I’m not an emergency service and I’m not available for urgent support between sessions. I’ll show up prepared and honest; you’ll show up on time, do the work between sessions, pay on schedule, and tell me when something isn’t working. You confirm you’re at least eighteen.
2Your plan
| Single Session | Coaching Package | Monthly Coaching | |
|---|---|---|---|
| Sessions | One 55-minute session | The number of 55-minute sessions listed for your package at checkout | 55 minutes, every other week |
| Term | 30 days from payment | The term listed for your package at checkout, counted from your payment date | Month to month, until either of us cancels |
| Price | As shown at checkout | As shown at checkout | As shown at checkout, per month |
| Billing | One-time payment | One-time payment | Renews automatically every month |
All sessions are held by video conference. Between sessions I’m available for brief email or text check-ins, usually within two business days. That’s short messages, not coaching by text, and not crisis or after-hours support.
Single Session and Coaching Package
Sessions expire. Every session must be held within your term. Anything unused at the end of it is forfeited unless we agree in writing to extend, and booking within the term is on you. Package sessions usually happen every one to two weeks.
Monthly Coaching
This is a flat monthly fee for ongoing coaching every other week, not a set number of sessions, so how many land in a given billing period follows the calendar. Skipped weeks don’t stack up. Sessions you don’t take aren’t banked, credited, or refunded.
3Payment
You pay the amount shown at checkout for the plan and rate you choose, by card or ACH through Stripe. Every rate gets the same coaching. Coaching begins once payment is received.
Single Session and Coaching Package
Paid in full at checkout, before the first session. This is a one-time payment. There’s no subscription and no recurring charge.
Monthly Coaching
Automatic renewal: please read
Monthly Coaching renews by itself. By completing checkout, you authorize Honest Club to charge your payment method the monthly amount shown at checkout today, and again automatically on the same day of every month after that, with no further notice and no end date, until you cancel. If that day doesn’t exist in a month, you’re charged on the last day of that month.
Cancel any time by emailing andrew@honestclub.co or through the billing link in your Stripe receipt. Cancelling takes effect at the end of your current billing period, the day before your next charge date (Section 5).
Your card or bank account stays on file with Stripe. I’ll give you thirty (30) days’ notice before any price change. If a payment fails and isn’t resolved within seven (7) days, sessions pause until it clears.
All plans
Billing questions come to me first. You agree to give me ten (10) business days to sort it out before filing a chargeback. Disputing sessions already held is a breach, and you stay responsible for the amount plus processor fees. Fees exclude taxes. Invoice and W-9 on request.
4Scheduling & missed sessions
Give me 24 hours’ notice to reschedule and the session doesn’t count as used. A session cancelled later than that, or missed entirely, counts as delivered and isn’t refunded, credited, or rescheduled. Being more than fifteen minutes late without a word may be treated as a no-show. You get one grace exception, and if it becomes a pattern we’ll talk about it honestly. If I cancel, I’ll reschedule at your convenience and it never counts against you.
5Ending or cancelling
Single Session
If you cancel with at least 24 hours’ notice and would rather not reschedule, I’ll refund your payment in full. After that, Section 4 applies.
Coaching Package
Either of us can end the package at any time, in writing. Sessions unused in the first half of your package are refundable pro-rata. Those in the second half are not, and sessions that expire at the end of the term are forfeited.
Monthly Coaching
Cancel any time by emailing andrew@honestclub.co or through the billing link in your Stripe receipt. No notice period, no fee, no explanation needed. Future charges stop and your membership continues through the end of your current billing period, which runs up to the day before your next charge date. For example, if you subscribed on the 20th and cancel on the 5th, coaching continues through the 19th and you aren’t charged again. Monthly fees are earned when charged and aren’t refunded: a partial billing period isn’t pro-rated, and sessions you didn’t take aren’t refunded or credited. That’s the trade for month-to-month flexibility with no minimum. If I end your membership, I’ll refund the pro-rated portion of the current billing period for sessions not yet held.
All plans
If I believe coaching isn’t the right fit for what you need, I’ll tell you directly, help you find a better resource, and refund everything you’ve paid for and haven’t used.
6Confidentiality
What we discuss stays between us, and I won’t share it with your employer or anyone else without your written permission. Three exceptions: if I reasonably believe you’re at risk of harm to yourself or others; if required by law, subpoena, or court order; and with my coaching supervisor, anonymized. Coaching isn’t legally privileged the way it is with an attorney or therapist, so I can’t promise a court won’t compel disclosure. Neither of us records a session, including with AI note-takers, without the other’s permission, and I won’t use your name or story in marketing without your written consent.
7Legal terms
No guarantee of results. Outcomes depend on your own effort, and I guarantee no specific result: no job, promotion, raise, or income level. Services are provided “as is,” and to the fullest extent permitted by law I disclaim all warranties, express or implied. My total liability for any claim arising from this agreement is capped at the fees you actually paid me in the three (3) months before it arose, and neither of us is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, income, or reputation. You’ll indemnify me against third-party claims arising from decisions you make in connection with coaching. None of this limits liability for fraud, willful misconduct, or gross negligence.
I’m an independent contractor, not your employee or partner, responsible for my own taxes and insurance. Neither of us binds the other, or may assign this agreement, without written consent. Materials I share stay my intellectual property, licensed to you for personal, non-commercial use; what you create is yours.
California law governs. We resolve things by talking first, then by mediation over video if that fails within thirty (30) days, then in the courts of San Francisco County, California, which may sit remotely. Small claims stays open to either of us. If you’re outside California or the U.S., any mandatory consumer-protection right in your home jurisdiction that can’t be waived prevails over this paragraph, and the rest still stands. This is our complete agreement on coaching. Changes must be in writing (email counts). Notices go to andrew@honestclub.co and the email you used at checkout. If any part is unenforceable, the rest stands. Letting something slide once doesn’t waive it. Sections 6 and 7 survive the end of this agreement. Neither of us is liable for delays beyond reasonable control.
8How you agree
By checking the box at checkout and completing payment, you confirm you’ve read and agree to this agreement, including the payment terms in Section 3 (and, for Monthly Coaching, the automatic monthly billing) and the refund and cancellation terms in Section 5. Your Stripe receipt confirms your plan, rate, and date. If you’d like a countersigned copy for your records or for reimbursement, just ask and I’ll send one. I’m glad you’re here, and I’m looking forward to our first conversation.
